Responsibilities

M&A and Corporate Transactions

  • Support cross-border M&A and corporate transactions across multiple geographies and jurisdictions, focusing on technology and gambling businesses.
  • Conduct legal due diligence of targets across multiple jurisdictions.
  • Structure transactions and market-entry projects, taking into account corporate, regulatory, tax, and financial considerations.
  • Coordinate merger clearance, regulatory, and fiscal approvals with relevant authorities.
  • Provide legal support throughout the transaction lifecycle, from initial structuring through closing and post-closing activities.

Gambling Regulatory and Market Entry

  • Provide legal and regulatory support for entering and operating in regulated gambling markets.
  • Assess regulatory requirements and restrictions applicable to new markets, transactions, and corporate structures.
  • Coordinate with gambling regulators and other relevant authorities on licensing, approvals, and regulatory matters.
  • Identify and mitigate regulatory risks arising from M&A transactions, restructurings, and changes in ownership or control.
  • Partner with internal and external regulatory counsel to ensure transactions and corporate structures comply with applicable gambling regulations.

Corporate Governance and Legal Entity Management

  • Manage the full legal lifecycle of group entities across multiple jurisdictions, including incorporations, annual compliance, internal approvals, reorganizations, and closures.
  • Prepare, coordinate, and maintain corporate documents, including shareholder and board resolutions, certificates, PoAs, UBO declarations, share transfers, and director appointments.
  • Act as the primary legal contact for external administrators, company secretaries, regulated intermediaries, and registered agents.
  • Maintain governance registers, KYC files, group structures, and signature authorities across active legal entities.
  • Coordinate internal approvals and improve governance processes and decision-tracking tools.
Requirements

Must-Have

  • Legally qualified in a civil or common law jurisdiction with 4+ years of relevant experience in corporate law, M&A, corporate transactions, or legal entity management.
  • Strong experience supporting cross-border and multi-jurisdictional transactions.
  • Solid understanding of corporate governance, company law, and international structuring.
  • Practical experience with gambling law and/or regulatory matters in regulated gambling markets.
  • Experience working with regulatory authorities and supporting licensing, approvals, or market-entry projects.
  • Experience managing legal entities and corporate actions across multiple jurisdictions, including through third-party service providers.
  • Excellent English drafting, communication, and negotiation skills.

Nice-to-Have

  • In-house experience within a multinational organization.
  • Experience with M&A transactions involving gambling / iGaming companies.
  • Familiarity with beneficial ownership, KYC/AML, nominee, trust, or fiduciary structures.
  • Experience with tax and financial structuring of corporate transactions.
  • Additional languages.
